Gotribuno

These Terms of Service are a contract between you and Tiktickets LLC, a Delaware limited liability company doing business as GoTribuno, 131 Continental Dr Suite 305, Newark, DE 19713 (“GoTribuno,” “we,” “us”). They apply to gotribuno.com and related apps and services (the “Platform”).

You accept these Terms when you create an account, check the acceptance box, list tickets, or complete a purchase. If you do not agree, do not use the Platform. The Privacy Policy is incorporated by reference.

We may revise these Terms by posting a new version and changing the date above. If a change is material — including arbitration, the Buyer Guarantee, fees or privacy — we will also notify the email or in-app channel on your account. We keep an archive of prior versions and record the version you accepted.

1. The Platform

GoTribuno is a secondary marketplace. It connects people who want to buy tickets to live events with people who want to sell them. “Tickets” includes the admission credential and any add-on sold with it that we allow.

This is not the official box office. Listings are posted by third-party sellers. GoTribuno is not the venue, team, artist, league or primary ticketing company. Prices may be above or below the original price. The same event may be on sale from the official primary seller, sometimes for less.

GoTribuno is a marketplace facilitator. We do not produce events. We are not a party to the sale between buyer and seller except where these Terms say otherwise.

A licensed payment processor collects the buyer’s payment. GoTribuno is a limited collection agent for the seller for that purpose only. Receipt by the processor is receipt by the seller. Seller proceeds are credited to a connected seller account controlled by the processor. GoTribuno does not take seller proceeds into its own operating account. Platform fees may settle to a GoTribuno platform account.

Title to tickets passes from seller to buyer under the sale. GoTribuno takes title only if it buys replacement tickets to fulfil the Buyer Guarantee. In that case GoTribuno is the seller of those replacement tickets only.

Event organizers, venues, leagues, artists and primary ticketing companies (“Event Organizers”) control the event, including venue rules, bag policies, ID checks, age limits, sightlines, cancellations and date changes, except for the refund and Guarantee duties in these Terms.

2. Eligibility and accounts

You must be at least 18 and able to make a binding contract. The Platform is not directed to children.

Give accurate information and keep it current. You are responsible for every action on your account. Keep your password confidential. Write to support@gotribuno.com at once if you think the account was used without permission.

One person or business keeps one account unless we approve another account in writing. You may not sell or transfer your account. We may refuse a registration, require identity checks, and suspend or close an account for breach, suspected fraud, chargeback abuse or legal risk.

You may not use the Platform if you are, or are owned or controlled by, a person or government that is the subject of sanctions administered by the U.S. Office of Foreign Assets Control or another applicable sanctions authority, or if you are located in a comprehensively sanctioned jurisdiction. We may freeze an account, block a payout and cancel an open order where sanctions law requires it.

3. Buying tickets

A completed checkout is a binding contract with the seller at the Total Price shown. Sales are final except under the Buyer Guarantee, Section 7 or a statute that says otherwise. A change of plans, a cheaper listing elsewhere or a mistake about the seat or date is not a ground to cancel.

Whenever we offer, display or advertise a price, we disclose the Total Price clearly and more prominently than any price that omits a mandatory fee. Total Price is the most the buyer must pay for the tickets and every mandatory charge, including the seller’s price, the Service Fee, the Order Processing Fee and any other mandatory Platform charge. A government charge paid to a government agency, and shipping that varies with the method the buyer picks, may be shown separately.

The price you see is the seller’s list price plus the Platform’s mandatory fees. We do not set a different Total Price for you based on browsing history, device fingerprint, inferred willingness to pay or other personal data collected through tracking technology. A seller changing the listing for every buyer is not personalized pricing.

If the tickets require a name match, Fan ID, primary-account lock or another personal registration to work at the gate, the listing must say so before checkout. An undisclosed lock that stops entry is a failed delivery.

We may cancel an order if the displayed price is an obvious error — a misplaced decimal, a missing zero, a duplicated listing at a fraction of the prevailing price, or a system fault. If payment was captured we refund the Total Price paid for the cancelled items. A cancelled pricing error is not a Buyer Guarantee claim and does not earn Guarantee Compensation. We may also cancel for suspected fraud, a prohibited listing, a failed payment or a breach of these Terms.

You agree not to use bots or any device that circumvents a queue, purchase limit or security measure. That conduct violates the Better Online Ticket Sales Act.

4. Delivery and risk

Delivery follows the listing and the order confirmation. Methods include mobile transfer, account-to-account transfer, a printable file and, where we allow it, physical shipment. Watch email, SMS and in-Platform messages. Complete any step required by a team, venue or primary-ticket app.

Do not screenshot a barcode or share a ticket except as the delivery method requires.

Once valid tickets have been made available to you by the stated method, risk of loss passes to you. A lost phone, a deleted app, a transfer you reject or ignore, a screenshot the gate will not take, or tickets you give to someone else are your responsibility. The Buyer Guarantee still applies if the seller later voids, cancels or reclaims the barcode, or if the tickets were never valid.

A mobile number you give us may receive transactional SMS about the account, the order, the transfer and security. Reply STOP to end marketing texts. Transactional texts needed to finish a delivery or protect the account may continue. Consent to marketing texts is not a condition of purchase.

5. Upgrades and substitutions

After purchase, the seller may deliver an Upgrade or Similar Seats instead of the exact seats in the listing. The seller may never deliver a Downgrade. An Upgrade or Similar Seats delivery fulfils the order. A Downgrade is a failed delivery and a Buyer Guarantee claim. The buyer does not pay more for an Upgrade.

Upgrade means valid tickets to the same event, date and quantity that are better than the listed seats: a higher official tier or category; a section closer to the field, court, ice or stage; a lower row in the same or a better section where lower is closer; a materially better published view; or club, lounge, box or other access the listing did not include.

Similar Seats means valid tickets to the same event, date and quantity that are comparable to the listed seats and are not a Downgrade — typically the same official category or an adjacent block in the same stand, with a published view that is not materially worse. A one- or two-row shift in the same section is Similar Seats if the view class stays the same.

Downgrade means a substitute that is worse in a material way, including a lower official tier; a farther section; an obstructed or limited view the listing did not disclose; split seats when the listing was a consecutive block; fewer tickets than purchased; a different event or date; standing room when the listing was a reserved seat; or the loss of a listed amenity.

The seller must tell the buyer and GoTribuno the new section, row and seat as soon as the substitute is transferred. GoTribuno classifies the substitute in good faith from the listing, the venue map and the tickets delivered. If it is unclear, the substitute is treated as a Downgrade.

6. Buyer Guarantee

Qualifying orders are covered by the Buyer Guarantee. The liability limit in Section 13 does not reduce what we owe under this section. Cancellations and statutory postponement refunds are Section 7 refunds, not Guarantee Compensation.

If the seller fails to deliver valid tickets, delivers late in a way that blocks entry, delivers counterfeit or invalid tickets, delivers a Downgrade, or hides a name-lock that stops entry, we will:

  1. First try to obtain comparable or better tickets for the same event, in time, at a cost of no more than 200% of the Total Price you paid for the affected tickets (the “Replacement Cap”). Replacements we send will be an Upgrade or Similar Seats. We will not fulfil a claim with a Downgrade.
  2. If replacement is not reasonably possible in time, or cannot be bought at or under the cap, pay you up to 200% of the Total Price you paid: a 100% refund plus additional Guarantee Compensation of up to another 100% of that Total Price. The additional amount is set in good faith from the kind of failure, time left before the event, and whether you cooperated with a replacement attempt. If you paid $300, the refund is $300 and additional compensation will not exceed another $300.

Tell us at the venue if you can. That is how a same-night replacement is still possible. A qualifying claim filed within 14 days after the scheduled start will still be reviewed. After the event starts, the usual remedy is cash, not new seats.

If the seller dies, dissolves, closes the payout account or disappears after a sale, this Guarantee still runs against GoTribuno. We handle the buyer claim first and pursue the seller or the seller’s estate separately.

The Guarantee does not cover:

  • a change of plans, travel trouble or illness, except where law requires a refund;
  • wrong delivery details you supplied, or tickets made available that you did not claim;
  • a door denial based on venue rules, bag policy, ID, age, dress, intoxication or your conduct;
  • travel, hotel, meals or parking you booked separately;
  • a lineup change that is not a full cancellation;
  • an Upgrade or Similar Seats delivery;
  • loss or theft after valid tickets were made available to you, unless the seller later voided them;
  • a cancelled obvious pricing error (refund only);
  • fraud, collusion or a Terms breach by the buyer.

Write to support@gotribuno.com with the order number, what went wrong, your location if you are at the venue, and any evidence. Use the Platform claim path first so a valid problem is refunded here rather than as a card dispute.

7. Cancellations and postponements

If an event is cancelled and not rescheduled, we refund the buyer the Total Price paid, including Service Fees, Order Processing Fees and shipping charged for the cancelled items. The seller transaction is reversed. If a statute requires a different result or a shorter deadline, we follow that statute.

If an event is postponed or rescheduled, tickets usually remain valid for the new date. There is no automatic refund only because the date moved.

If law requires a reseller or marketplace to refund a buyer who asks after a postponement — including New York Arts and Cultural Affairs Law § 25.07 and California Business and Professions Code § 22507 where they apply — we will refund the Total Price paid on a timely request.

When we refund a buyer under this Section 7, the seller must repay GoTribuno at once, or authorize an immediate processor debit, for the refunded amount, related processor costs and any sum already released. Payment is due on demand and within three business days. The seller must follow our instructions to void, return or hold the tickets and must not resell them.

A lineup change, dropped opening act, venue move in the same market, time shift that is not a cancellation, or shortened show is not a cancellation unless law or the Event Organizer’s binding policy requires a refund.

8. Fees, set-off and credits

Buyers pay a Service Fee and an Order Processing Fee as part of the Total Price. Sellers pay the commission shown at listing or in the seller dashboard. Fees are not refundable except under the Buyer Guarantee, Section 7 or law.

You authorize us and the processor to charge the selected method for the Total Price and for later amounts you owe, including replacement cost up to the Replacement Cap, Guarantee Compensation paid because of a seller default, postponement refunds, chargebacks and clawbacks.

Buyers and sellers are responsible for their own taxes except where we must collect a tax ourselves. We may file information returns, including Form 1099-K where required.

If tickets fail, use the Buyer Guarantee or Section 7 first. If you open a chargeback on a purchase that was authorized and already remedied under these Terms, or if you abuse chargebacks, we may close the account, refuse future orders, offset what you owe and collect. This does not waive a right under card-network rules to dispute an unauthorized charge. Sellers remain liable for chargebacks that arise from their listings.

We may net any amount you owe us against any amount we or the processor owe you on any order, payout or credit, including accounts we reasonably determine you control.

Account credit has no cash value unless law requires it, expires as disclosed when issued, and cannot be transferred. If a credited order is later refunded or charged back, the credit is void. Unused credit that remains after the expiry date, or after the period set by unclaimed-property law, may be remitted to the relevant state as unclaimed property.

9. Seller terms

If you list or sell tickets, this Section 9 also binds you. On selling activity this section controls if it conflicts with another section.

Complete seller registration before you list, including identity verification, date of birth, government identification, tax information for Form 1099-K and bank details for payouts. Payout accounts must be in the same legal name as the seller account unless we approve another arrangement.

A published listing is a binding offer to sell those exact tickets at that price. You may not cancel because the market moved. List only tickets you own and have a present right to transfer. Speculative listings — seats you do not possess and for which you lack a confirmed contractual right to those specific seats — are prohibited.

Each listing must be authentic, valid for entry, transferable by the stated method and accurate as to event, date, section, row, seat, quantity, delivery method, original face value or original all-in price where we require it, restricted or obstructed view, transfer window, and any name match, Fan ID or account lock. Do not list non-transferable, complimentary-restricted or official-allotment inventory unless the buyer can actually use it and you have said so in the listing.

You may not list stolen, counterfeit, will-call-only, bot-acquired or already-sold tickets, or non-consecutive seats as one block. A double sale is a non-delivery.

Deliver as soon as the sale completes, and early enough for the buyer to use the event. You may substitute an Upgrade or Similar Seats. You may never substitute a Downgrade. Do not change a barcode or reclaim tickets after sale except to complete an allowed substitution.

Use a buyer’s personal information only to deliver the tickets. After delivery, delete it except as law or a genuine dispute requires.

Seller proceeds credit your processor account. Unless the dashboard shows a different hold, the processor releases payout after successful delivery and may wait until after the event. We may instruct the processor to hold or reverse a payout for fraud, non-delivery, invalid tickets, chargebacks, Guarantee claims, Section 7 refunds, pricing errors or other breaches.

If we replace tickets or pay a buyer under the Buyer Guarantee because of your listing, you owe us either the replacement cost we spent, capped at the Replacement Cap, or the full cash paid to the buyer under the Guarantee (up to 200% of the Total Price the buyer paid), plus related fees and processor costs. A Section 7 refund is repayable on the timetable in Section 7. The duty survives account closure, death, dissolution or a closed payout method.

10. Prohibited conduct

You may not, and you may not help anyone else to:

  • use bots or defeat a queue, limit or security control, or otherwise violate the BOTS Act;
  • list speculative, counterfeit, stolen, cancelled, already-sold or invalid tickets;
  • list tickets obtained in breach of Event Organizer, season-ticket, league or federation rules;
  • commit fraud, identity theft, money laundering or payment manipulation;
  • harass, threaten or publish private information about another user or our staff;
  • scrape Platform data or interfere with the service;
  • post a false seat map, hide an obstructed view or a name-lock, or dress a listing as an official box office;
  • use a buyer’s personal information for anything other than that delivery;
  • violate a ticket-resale statute, including a price cap, fee cap, licensing rule or required disclosure.

We may remove listings, cancel orders, hold funds, report conduct and close accounts. We take reasonable measures against speculative listings, bot abuse and restricted inventory.

11. Content and intellectual property

You own the content you submit. You grant GoTribuno a worldwide, non-exclusive, royalty-free licence to host, reproduce, format and display it to run and improve the Platform. We do not require you to give up a lawful review of our service. We may remove content that is unlawful, false or infringing.

The Platform belongs to GoTribuno or its licensors. GoTribuno is a trademark of Tiktickets LLC. Event, team and artist names belong to their owners and appear only to identify the event.

Copyright notices go to the designated agent listed in the Imprint and must contain the elements required by 17 U.S.C. § 512.

12. Third-party services

The Platform uses processors, transfer tools, maps, analytics and Event Organizer systems. Their terms and outages are theirs.

13. Disclaimers and limitation of liability

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.

EXCEPT AS STATED IN THE BUYER GUARANTEE, WE ARE NOT LIABLE FOR THE ACTS OF BUYERS OR SELLERS; FOR THE QUALITY, LEGALITY, TRANSFERABILITY OR AUTHENTICITY OF TICKETS; FOR SEATING VIEWS; OR FOR CHANGES MADE BY EVENT ORGANIZERS.

EXCEPT FOR OUR OBLIGATIONS UNDER THE BUYER GUARANTEE AND SECTION 7, AND EXCEPT FOR LIABILITY THAT CANNOT BE LIMITED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF THESE TERMS OR THE PLATFORM WILL NOT EXCEED THE FEES YOU PAID TO US IN THE TWELVE MONTHS BEFORE THE CLAIM.

TO THE MAXIMUM EXTENT PERMITTED BY LAW WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOST GOODWILL OR THE COST OF SUBSTITUTE TICKETS BEYOND THE BUYER GUARANTEE.

This section does not limit the Buyer Guarantee, Section 7, our own fraud or willful misconduct, or liability that law does not allow us to limit.

14. Indemnity

If you are a seller, you will indemnify GoTribuno and its officers, members and employees against claims, losses and reasonable attorneys’ fees arising from your listings, your tickets, a failure to deliver, a breach of these Terms or law, an infringement, or a dispute with a buyer over your listing, except to the extent caused by our willful misconduct.

If you are not listing tickets, you will indemnify GoTribuno only for your fraud, your misuse of the Platform, your violation of law or content you submit, except to the extent caused by our willful misconduct. A consumer is not required to indemnify us for our own negligence where that requirement is unenforceable.

15. Disputes

Before a court or arbitration filing, send a complete Dispute Notice to support@gotribuno.com. Include your name, account email, a description of the dispute and the relief sought. The informal process lasts 60 days from our receipt of a complete notice. Within 15 days we will offer at least two times for an individual video or telephone conference of up to 30 minutes. You or your lawyer must attend unless we agree in writing that the call is unnecessary. The 60-day period and the conference are conditions precedent to arbitration or a lawsuit, except for a small-claims case and a request for emergency injunctive relief. A Dispute Notice tolls the contractual time limit in this section while the informal process runs.

Except as stated below, a dispute between GoTribuno and a consumer that arises out of these Terms, the Platform or a ticket transaction will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules and, where they apply, its Mass Arbitration Supplementary Rules. The Federal Arbitration Act governs this section.

A dispute between GoTribuno and a business, broker or other professional seller is administered under the AAA Commercial Arbitration Rules, unless AAA policy requires Consumer Rules.

In a consumer arbitration GoTribuno will pay the AAA filing, administrative and arbitrator fees to the extent the Consumer Rules or law require.

You and GoTribuno waive a jury trial and waive participation in a class action, class arbitration, private attorney general action or other representative case. Claims proceed only in an individual capacity.

If 25 or more similar demands are filed against GoTribuno and appear coordinated, the AAA Mass Arbitration Supplementary Rules apply to the extent consistent with the FAA and law. Administration and fee assessment proceed in sequential batches of no more than 50 demands, beginning with a bellwether sample. Later demands may be filed so limitation periods are preserved. Those later demands remain in administrative abeyance until an earlier batch is resolved or withdrawn, unless AAA rules or a court require a different order.

You may opt out of arbitration within 30 days after you first accept these Terms. Email support@gotribuno.com with the subject “Arbitration Opt-Out,” your full name, account email, mailing address and a clear statement that you opt out.

Either party may file an individual small-claims case in the county of the consumer’s residence or in Delaware if the claim fits that court. Either party may seek an injunction in court for intellectual-property infringement or unauthorized access to the Platform. If the class waiver is unenforceable as to a claim, that claim proceeds in court, not in arbitration.

To the extent law allows, a claim must be filed within one year after it accrued. This sentence does not shorten a period that law makes non-waivable.

Delaware law governs these Terms, without regard to conflict-of-law rules, except that the Federal Arbitration Act governs this Section 15 and a consumer keeps the non-waivable protections of the consumer-protection statute in the consumer’s state of residence. Subject to this section, court actions that are not small-claims actions belong in the state or federal courts in Delaware.

16. Term and general

These Terms last until they end. You may close the account by writing to support, subject to open orders and amounts you owe. We may suspend or close access for breach, suspected fraud, legal risk or long inactivity. Closing an account does not cancel a completed sale or a refund or clawback already due.

These Terms are the entire agreement about the Platform. If a clause is unenforceable it will be narrowed and the rest stays. You may not assign these Terms without our consent. We may assign them in a reorganization, merger or sale of assets.

We are not liable for delay caused by events beyond our reasonable control. That sentence does not excuse a Section 7 refund or an established Buyer Guarantee duty.

You agree to receive electronic notices at the email, number and in-app channels on the account. You may stop marketing messages. Transactional messages about orders, security and legal notices continue.

Nothing here creates a partnership, joint venture or employment relationship. If we later provide a translation, English controls unless local law says otherwise.
